General Sales Conditions

Welcome to the website  www.sodoowo.com (hereinafter "the Website"). The General Sales Conditions (CGV) is supplemented by the legal conditions of the site. SODOOWO AGRIFOOD SOLUTIONS, a company with limited responsibilities under Ivorian law, registered in the commercial register of Abidjan Plateau under the number CI-ABJ-2017-B-22971 and whose registered office is located in Abidjan. The General Sales condition on products and services constitute contractual clauses applicable to any purchase by any user on the Website.
The terms «you» and «user» mean the final user who has access to the website. The terms «services supplier » mean third-party service recipient. The terms around the personal pronoun "we" mean SODOOWO AGRIFOOD SOLUTIONS, its franchisers, affiliates and partners. The term "website" means SODOOWO.

The buyer can pay by Paypal account or by bank transfer. The online payments are not yet available with credit card.

Any order placed implies its payment. Payment is in Euros. Any bank charges are the responsibility of the buyer. SODOOWO reserves the right to suspend or cancel an order in case of payment default or partial payment that would be due by the buyer, whatever the reason for these defaults.

The payments by bank transfers or Paypal are secured.

When ordering, the buyer has the choice between the following delivery methods:

 EXW - ExWorks

SODOOWO duly delivered the goods when it was made available to the buyer in its own premises or in another agreed place (workshop, factory, warehouse, etc ...), and without completion of customs formalities for export and without loading on any removal vehicle. This term therefore defines the minimum obligation of the seller, the buyer having to bear all the costs and risks inherent in taking over the goods from the seller's premises.

 FOB - Free on Board

SODOOWO duly delivered when the goods passed the ship's rail at the port of embarkation. It follows that from this point the buyer must bear all the costs and risks of loss or damage that the goods may run. The term FOB requires SODOOWO to clear the goods for export. It is to be used exclusively for transport by sea or inland waterways.

 CFR - Cost and Freight

SODOOWO duly delivered when the goods passed the ship's rail at the port of embarkation. SODOOWO shall pay the costs and freight necessary to transport the goods to the agreed port of destination. But the risk of loss or damage that the merchandise may run, as well as any additional costs arising from events occurring after delivery, are transferred from the seller to the buyer. This term is to be used exclusively for transport by sea and inland waterways.

 CIF - Cost, Insurance, Freight

SODOOWO duly delivered when the goods passed the ship's rail at the port of embarkation. SODOOWO shall pay the costs and freight necessary to transport the goods to the agreed port of destination. But the risk of loss or damage that the merchandise may run as well as any additional costs arising from events occurring after delivery are transferred from SODOOWO to the buyer. However, under CIFSODOOWO must also provide marine insurance to cover the buyer against the risk of loss or damage that the goods may run during transport.

As a result, SODOOWO enters into an insurance contract and pays the insurance premium. The buyer should note that, according to the CIF term, SODOOWO is only required to underwrite the insurance for minimum coverage.

 DDP - Delivered Duty Paid

SODOOWO delivers the goods to the buyer, cleared for import and not unloaded upon arrival of any transport vehicle at the agreed destination. SODOOWO must bear all the costs and risks involved in transporting the goods, including, where applicable, any "law" to the import into the country of destination. While the term EXW defines the minimum obligation of the seller, the term DDP defines the maximum obligation.

Once the order is validated, the buyer will receive an email indicating the date of receipt of his products.

Deliveries are made by the network SODOOWO office closest to the delivery address provided by the customer. Upon validation and payment of the order by the customer, the office SODOOWO in question will contact you to discuss a delivery date. Dates and delivery times may vary depending on the size, typology and potential dangerousness of the ordered material as well as   the setting of the machine. SODOOWO provides precise and responsible advice to ensure efficient and safe handling of equipment by its customers.

The buyer has a period of 14 days to retract after receipt of the goods ordered on the site.

To exercise his right to withdrawal, the buyer must, before the expiry of the withdrawal period, send SODOOWO a written expressing his desire to retract. The buyer must also return or report the product within 14 days of sending the withdrawal. The costs of the return are the responsibility of the buyer.

As part of the right of withdrawal, SODOOWO will refund to the buyer the price of the product paid at the time of the order and the delivery costs.

As part of the right of a retraction, SODOOWO undertakes to repay the buyer no later than 14 days following the date on which SODOOWO was informed of the buyer's retraction of the decision, unless justified delay. This repayment can be deferred until the day of recovery of the property by SODOOWO.

All the products put on sale on the site benefit from the legal guarantee of conformity and the guarantee against latent defects. These warranties allow the purchaser to return defective or non-compliant products free of charge.

SODOOWO is obliged to deliver a good in conformity with the contract and answers for the defects of conformity existing at the time of the delivery. He is also liable for any lack of conformity resulting from the packaging, assembly instructions or the installation when this has been charged to him by the contract or has been carried out under his responsibility.

To be in conformity with the contract, the property must:

1) Be fit for the usual expected use of a similar good and, where appropriate:

- correspond to the description given by SODOOWO and possess the qualities that it has presented to the buyer in the form of a sample or a model;

- present the qualities that a buyer can legitimately expect given the public statements made by SODOOWO , the producer or his representative, particularly in advertising or labeling;

2) Or have the characteristics defined by mutual agreement by the parties or be fit for any special purpose sought by the buyer, brought to the knowledge of the seller and that the latter has accepted.

SODOOWO is bound by the guarantee by reason of the hidden defects of the thing sold which render it unfit for the use for which it is intended, or which diminish the use so much, that the buyer would not have acquired it, or would have given a lower price, had he known them.

Are excluded from guarantee: products modified, repaired, integrated or added by the buyer. The guarantee does not cover apparent defects. The guarantee will not cover products damaged during transport or due to misuse.

For the legal guarantee of conformity, the buyer has a period of one year from delivery of the property to act; he may choose between the repair or replacement of the property; the buyer is not required to prove the existence of the lack of conformity of the good during the six months of delivery of the goods.

For the legal guarantee of latent defects, the buyer benefits from a period of one year from the discovery of the defect and two years after the purchase of the good. It is up to the buyer to prove the hidden defect and to produce certificates and repair quotes. To assert his right under the legal warranty of hidden defect, the buyer must send his request by registered letter with acknowledgment of receipt. The buyer must be able to provide proof of purchase and proof of the existence of a hidden defect.

The legal guarantee of conformity applies regardless of the commercial guarantee that eventually granted.

As part of the legal guarantee of conformity, SODOOWO agrees to the choice of the buyer, either to replace the product with an identical product depending on available stocks, or to refund the price or to repair the product.
As part of the hidden defect warranty, the buyer can either keep the product and request a price reduction or make the product and request a refund of the price paid as well as the costs incurred by the sale.
